The chairman and CEO of Amper SA, the owners of BlueSky, Mr Jaime Espinosa, has received a letter from Governor Lolo Moliga objecting to the termination and removal of Mr. Adolfo Montenegro as President and CEO of American Samoa Hawaii Cable , LLC.

The governor has demanded an immediate explanation and justification for Montenegro’s removal from ASH.

The governor’s September 30 letter said the decision to remove Montenegro violates the terms of the ASH Cable Agreement.

“Specifically, it appears that the decision was made pursuant to an agreement with Amper, SA and ATH m both of whom are not member of ASH cable and have no authority to mettle int eh business affairs of ASH Cable.{

Mr. Montenegro, who has been CEO and president of BlueSky since 2008 was fired this week by the Amper boss.

The way ASHCable was set up , Montenegro as CEO of BlueSky was also CEO of ASH Cable.

ASG owns a third of ASH Cable while Elandia owns the rest of the shares.

Governor Lolo wrote that ASG and Elandia are the only members of ASH Cable and ASG has invested $9 million in public funds in the business of ASH Cable.

Lolo said ASG  expects to be consulted and informed about all major decisions regarding the operations of ASH Cable, especially the removal of a key member of the operation.

Backing up Montenegro, the governor said Montenegro has been with ASH Cable from the very beginning and has intimate and invaluable knowledge of the business.

He said Montenegro’s removal creates and unacceptable risk for ASG s substantial investment in ASH Cable and triggers ASG’s rights under the limited liability company agreement as well as under American Samoa law.

The governor demands that the Amper CEO and chairman provide an immediate explanation and justification for Montenegro’s removal.

‘Otherwise,” he said, “ASG will seek to exercise its rights under the LLC agreement and under American Samoa law.”
